SERVICE SUITE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED,AS TO THE OPERATION OF THE SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SERVICE SUITE, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF SERVICE SUITE IS AT YOUR SOLE RISK.
TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, SERVICE SUITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SERVICE SUITE DOES NOT WARRANT THAT THE SERVICES, INFORMATION, CONTENT,MATERIALS, PRODUCTS, OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SERVICE SUITE, OR ELECTRONIC COMMUNICATIONS SENT FROM SERVICE SUITE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPO-NENTS. SERVICE SUITE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SERVICES, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SERVICE SUITE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.
You agree to indemnify, defend, and hold harmless Service Suite, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your use of the Services (including but not limited to negligent or wrongful conduct), by you or any other per-son accessing the Services using your account.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law. Any dispute or claim arising out of or in connection with these Terms or your use of Service Suite shall be resolved exclusively by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
These Terms constitute the entire agreement between you and Service Suite with respect to the use of Service Suite, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Service Suite. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Service Suite to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. You may not assign these Terms, in whole or in part, without the prior written consent of Service Suite, and any attempted assignment without such consent will be null and void. Service Suite may assign these Terms, in whole or in part, at any time without notice to you. The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

These Terms are effective as of the date of your acceptance of these Terms or your use of Service Suite, whichever occurs first.
